1. ACCEPTANCE OF TERMS:
By accessing or using the Ajna Portal (the "Portal"), you agree to comply with and be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Portal.
2. DESCRIPTION OF SERVICES:
Ajna is a self-service hiring platform that enables customers to view candidate profiles, schedule interviews, provide feedback, and manage the interview process. Access to the platform is initially offered at no cost. However, Premier Talent Partners ("Premier") reserves the right to introduce a per-seat/user fee in the future. Hires made through the Portal will incur a placement fee. Customers may engage Premier for recruiting or Employer of Record (EOR) services under a separate Client Agreement.
3. USER ACCOUNTS & RESPONSIBILITIES:
Users must create an account to access the Portal. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to use the Portal in compliance with all applicable laws and not to misuse, copy, or distribute proprietary information obtained through the Portal.
4. CANDIDATE INFORMATION & HIRING:
The Portal provides access to candidate profiles for evaluation and hiring purposes. By using the Portal:
• You agree not to contact or solicit candidates outside of the Portal unless expressly permitted.
• If you hire a candidate through Ajna on a direct or permanent basis, you agree to pay the applicable placement fee as outlined in Section 5.
• If you engage a candidate for a temporary or contract assignment, you must use Premier’s Employer of Record (EOR) services, subject to a separate Client Agreement.
5. FEES & PAYMENT:
• While access to the Ajna Portal is initially free, Premier reserves the right to introduce fees for usage. Any pricing changes will be communicated in advance, and continued use of the Portal constitutes acceptance of the updated pricing.
• A flat placement fee of $5,000 applies to any direct or permanent hire made through the Portal.
• Candidates hired on a temporary or contract basis must be payrolled through Premier’s EOR services, which are subject to separate terms and fees outlined in the Client Agreement.
6. DATA PRIVACY & CONFIDENTIALITY:
Premier respects user privacy and handles data in accordance with its Privacy Policy. You agree not to share candidate or hiring information with third parties except as required for your internal hiring process.
7. INTELLECTUAL PROPERTY:
All content, features, and functionality of the Portal—including but not limited to software, text, and graphics—are the exclusive property of Premier and are protected under applicable intellectual property laws.
8. LIMITATION OF LIABILITY:
The Portal is provided "as is," without warranties of any kind, express or implied. Premier is not responsible for hiring outcomes, candidate performance, or any damages resulting from the use of the Portal.
9. MODIFICATIONS TO TERMS:
Premier reserves the right to modify these Terms at any time. Continued use of the Portal after modifications constitutes acceptance of the updated Terms.
10. GOVERNING LAW:
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
11. RELATIONSHIP TO GENERAL TERMS OF SERVICE:
These Terms of Use supplement Premier’s General Terms of Service Agreement, which govern the broader use of Premier's services. In the event of any conflict between these Terms and the General Terms of Service, these Terms shall apply specifically to the use of the Ajna Portal.By using the Ajna Portal, you acknowledge that you have read, understood, and agreed to these Terms of Use.
